Company History and Background

Fuqua Homes, Inc. is a privately owned company headquartered in Arlington, Texas. There are currently two operating Divisions serving the Midwest and Great Northwest markets. Building Centers and Division offices are located in Boonville, Missouri and Bend, Oregon. The retail center is located in Eugene, Oregon. In July, 1968, Fuqua Industries, Inc. acquired the stock of U.S. Mobile Homes, Inc. At the time, U.S. Mobile Homes, headquartered in Henderson, NC, had four building centers located in North Carolina, Oregon, Louisiana and Florida. In October of the same year, Fuqua also acquired the stock of G.T. Wolfe Mobile Homes. G.T. Wolfe was a California company with three operating divisions and was headquartered in Corona, California. These two independent operations were combined into a single corporation in January of 1969 and renamed Fuqua Homes, Inc. Over the course of four years, the new entity went through a series of acquisitions and divestitures, which took it up to as many as 13 building centers by 1973. In June of 1986, the management acquired the stock of the company from Fuqua Industries, Inc. with lender assistance from Chrysler Capital.

Fuqua's served industry market is presently composed of 12 states with a primary business focus on multi-sectional homes. Fuqua Homes also produces modular multi-sectional product and commercial offices. The Company's products are marketed primarily in the medium to medium-high price points and result in a higher value compared to competition due to innovative design, high quality and a strong after-sale service image.

Fuqua distributes its products through approximately 125 retailers located generally within radium of 500 miles of the serving building center. Fuqua is always looking for ways to strengthen its distribution base, shelf space and dealer loyalty.

The Company operates on a decentralized basis with each operation fully staffed and capable of operating independently. The Company's executive office and Corporate Staff are maintained on a lean basis and are totally focused on providing support to the Divisions in the area of marketing, design, product development, material procurement, manufacturing, engineering, financial and administrative areas.
